Terms of Service

1. Agreement to Terms

By accessing or using KCENAV at kcenav.ai (the "Platform"), you agree to these Terms of Service ("Terms"). If you're using KCENAV on behalf of a company, you represent you have authority to bind that company to these Terms.

If you don't agree with these Terms, don't use the Platform.

2. What KCENAV Provides

KCENAV offers:

• Free diagnostic tools: Six AI-native assessments (HALO Score, LEAD Score, Growth Scaling, Valuation Optimizer, M&A Readiness, Exit Readiness) that generate deterministic composite scores based on your inputs
• Premium platform access: Subscription-based access to multiple tools, historical tracking, and cross-tool intelligence
• Advisory services: Human-delivered strategic advisory from our team (separate from platform access, available via direct engagement)
• Strategic content: Newsletter, frameworks, and insights articles

3. Diagnostic Tools — Important Disclaimer

Our diagnostic tools produce scores based on the information you provide. These scores:

• Reflect your self-reported inputs — accuracy depends on the quality of information you provide
• Are calculated deterministically using weighted scoring models (same inputs always produce the same outputs)
• Are benchmarked against aggregated, anonymized data from other companies on the platform
• Should be used as a starting point for strategic discussion, not as a definitive assessment
• Do not constitute a business valuation, M&A fairness opinion, legal opinion, or audit

For decisions involving significant capital allocation, M&A transactions, or legal obligations, consult qualified professionals (investment bankers, attorneys, CPAs, and licensed advisors).

KCENAV's advisory services team can help facilitate or provide context for such decisions — but even advisory engagements are strategic guidance, not licensed professional services.

4. Account Registration

To access premium features, you must create an account. You agree to:

• Provide accurate information during registration
• Keep your password secure and not share account access
• Notify us immediately of any unauthorized account access
• Be responsible for all activity that occurs under your account

You must be at least 18 years old to create an account.

5. Subscriptions and Payments

Paid subscriptions are billed through Stripe. By subscribing, you authorize recurring charges at the frequency and amount shown at checkout.

• Cancellation: Cancel anytime. You retain access through the end of your paid period. No refunds for partial periods unless required by law.
• Price changes: We may change subscription prices with 30 days' notice. Continuing to use the Platform after the price change constitutes acceptance.
• One-time purchases: Non-refundable unless we fail to deliver the stated deliverable.
• Chargebacks: Initiating a chargeback without contacting us first will result in account suspension.

6. Acceptable Use

You may not:

• Use the Platform for any unlawful purpose or in violation of any regulation
• Submit false or deliberately misleading information in diagnostic tools
• Attempt to reverse-engineer, scrape, or extract our scoring algorithms or benchmark data
• Share account credentials with others or resell access to the Platform
• Use automated tools to submit assessments or access the Platform at scale
• Upload or transmit malicious code, spam, or harmful content
• Impersonate another person or entity

7. Intellectual Property

KCENAV owns all intellectual property in the Platform, including our scoring methodologies, frameworks, content, and software. You may not copy, reproduce, or distribute our proprietary content without written permission.

You own the data you submit. By using the Platform, you grant KCENAV a limited license to process your data to provide our services and, in anonymized, aggregated form, to improve our benchmarks.

8. Limitation of Liability

To the maximum extent permitted by applicable law:

• KCENAV provides the Platform "as is" without warranties of any kind, express or implied
• We do not warrant that diagnostic scores are complete, accurate, or suitable for any particular business decision
• KCENAV's total liability to you for any claim arising from your use of the Platform shall not exceed the amount you paid us in the 12 months preceding the claim
• We are not liable for indirect, incidental, consequential, or punitive damages of any kind

Some jurisdictions do not allow limitation of implied warranties or liability. These limitations may not apply to you.

9. Indemnification

You agree to indemnify KCENAV and our team against any claims, damages, or costs arising from your use of the Platform in violation of these Terms, your submission of inaccurate data, or your infringement of third-party rights.

10. Termination

We may suspend or terminate your account if you violate these Terms, engage in fraudulent activity, or if we reasonably believe your use poses a risk to other users or the Platform. You may terminate your account at any time by contacting us.

11. Governing Law

These Terms are governed by the laws of the United States, without regard to conflict of law principles. Disputes will be resolved through binding arbitration, except where prohibited by law. Both parties waive the right to a jury trial and class action participation.

12. Changes to These Terms

We may update these Terms as our platform evolves. We'll notify registered users of material changes by email. Continued use of the Platform after changes take effect constitutes acceptance.
